Blackstone, Warburg Pincus Explore Sale of Fintech Firm IntraFi at Valuation Exceeding $10 Billion
nashnova research
Blackstone and Warburg Pincus are exploring a sale of IntraFi, the largest reciprocal-deposit network in the U.S., at a potential valuation exceeding $10 billion — a business whose relevance surged after Silicon Valley Bank's collapse.
What does IntraFi actually do?
IntraFi operates what it calls the largest reciprocal-deposit network in the U.S. — it spreads a bank customer's funds across multiple banks so that balances above $250,000 still qualify for FDIC insurance coverage.
In plain terms = if you deposit $500,000 at one bank, IntraFi automatically splits it into insured-size chunks at several banks. You do nothing; your money is fully covered.
The network also lets banks buy and sell deposits among themselves — a bank flush with cash sells to one that needs funding, and IntraFi collects a fee. Annual EBITDA stands at $630 million.
Why explore a sale now?
The 2023 collapse of Silicon Valley Bank sharply raised depositor anxiety about uninsured balances, intensifying competition among banks for deposits.
This means → IntraFi's network shifted from "useful utility" to "must-have infrastructure," and its market value was repriced accordingly.
The M&A market is also warming. Blackstone this month agreed to sell Clarion Events for roughly £2.2 billion, while Warburg Pincus recently agreed to sell both McGill and Partners and WildFire Energy.
How far along is the deal?
Blackstone and Warburg Pincus have hired Morgan Stanley and Guggenheim Securities as advisers, but the process is still in its early stages.
Sources stress that no final decision has been made — the two firms may choose to keep the business.
This reflects a classic PE exit playbook: float the idea, gauge buyer appetite, then decide whether to sell or hold for a higher price later.
Is $10 billion a rich valuation?
IntraFi's annual EBITDA is $630 million. A $10 billion price tag implies roughly 16× EBITDA.
This means → the market is not pricing IntraFi as an ordinary fintech company but closer to infrastructure-grade — buyers are paying for the long-term structural demand driven by deposit-safety anxiety.
Blackstone acquired IntraFi in 2019; Warburg Pincus invested in 2022. A $10 billion exit would deliver a substantial return for both sponsors.
