China's securities regulator is seeking public comment on guidelines for advance compensation in the securities market, expanding the pool of entities that can voluntarily pay investors first and clarifying the mechanism as a voluntary civil settlement — widening the front-end path for retail investor redress.

01

What is "advance compensation," and why should retail investors care?

Advance compensation — a mechanism where responsible parties pay harmed investors upfront, before lengthy litigation concludes — is a distinctive investor-protection tool in China's capital markets.
This means → investors can receive redress without filing their own lawsuits or waiting for a court verdict, drastically cutting their time cost.
After paying out, the compensating party legally assumes the investors' claims against the issuer and other jointly liable parties — the risk shifts to the responsible party, not the retail investor.
02

What does this consultation expand?

Previously, Article 93 of the Securities Law limited advance compensation to three types of entities: the issuer's controlling shareholder, the actual controller, and the relevant securities firm.
The new draft guidelines add that accounting firms, law firms, and other intermediaries may also voluntarily participate, with the guidelines applied by reference.
In plain terms = before, only "the boss and the broker" could pay first; now "the auditor and the legal adviser" can step up too — more exits for compensation to reach investors.
03

What does the "voluntary civil settlement" label mean?

The guidelines emphasize that advance compensation is a voluntary civil settlement, not an administrative penalty or a mandatory obligation.
This means → the compensating party chooses to pay first, rather than being ordered to by the regulator — this lowers the legal resistance to rolling out the system.
Once compensation is complete, the paying party legally acquires the investors' right to claim against the issuer and other jointly liable parties. Put simply = whoever pays first inherits the investors' "right to sue" and can then pursue the truly responsible parties for repayment.
