Google is negotiating a deal worth over $1.5 billion with AI coding startup Mechanize — not a full acquisition, but a talent hire plus a non-exclusive technology license. It is the third time Google has used this exact playbook, and the clearest sign yet of its urgency to catch up in the AI coding race against OpenAI and Anthropic.
What is Google actually buying?
Google is not acquiring Mechanize outright. It plans to bring in key personnel and sign a non-exclusive technology license.
This means → Mechanize continues to exist as a company. Google gets the people and the right to use the tech — not the entity itself.

Why not just buy the whole company?
Google has repeatedly used this "talent acquisition + technology license" hybrid, with two clear precedents.
Last year, after OpenAI tried to acquire AI coding tool Windsurf, Google stepped in to hire its talent and license its tech. Windsurf CEO Varun Mohan now leads Google's coding platform Antigravity.
In 2024, Google re-hired Character AI co-founder Noam Shazeer and secured a non-exclusive license to Character AI's technology.
This reflects a deliberate strategy to avoid triggering antitrust scrutiny — a license agreement draws far less regulatory resistance than a full merger.
What kind of company is Mechanize?
Mechanize was founded just last year. Its stated mission is to "automate all work," with an initial focus on software engineering.
Earlier this year it raised $9.1 million at a $500 million valuation. A deal above $1.5 billion would represent a premium of more than 2× over that round.
Backers include former GitHub CEO Nat Friedman, Stripe CEO Patrick Collison, and podcaster Dwarkesh Patel. Founder Tamay Besiroglu previously co-founded Epoch AI, a firm focused on AI model testing.
Why is Google rushing to fill this gap?
Google is under visible pressure in the AI coding race — OpenAI's Codex and Anthropic's Claude Code have been steadily pulling developer customers away.
Mechanize's technology can boost AI models' coding performance; the incoming talent will focus on model evaluation and development.
This means → Google wants Mechanize's people and tech to sharpen its own coding AI, an attempt to reclaim lost ground in this fast-moving market.
