Tech Giants' Off-Balance-Sheet Hidden Liabilities Approaching $2 Trillion

New data from Goldman Sachs and Morgan Stanley show that off-balance-sheet lease and purchase commitments by Google, Microsoft, Amazon and peers now total nearly $2 trillion — far exceeding their on-book debt, and raising the question of whether conventional credit metrics drastically understate their true leverage.
Where does this nearly $2 trillion in "hidden debt" come from?
Goldman's latest research: hyperscaler off-balance-sheet lease commitments total $1.5 trillion. Roughly $1 trillion of that has not commenced and therefore does not appear on any balance sheet — up from about $200 billion five years ago.
Morgan Stanley's tally: Google, Microsoft, Amazon, Nvidia and Oracle carry combined purchase commitments of $982 billion as of Q1.
Add both together and the potential off-book obligations approach $2 trillion. This means → the debt investors can see on the balance sheet may be just the tip of the iceberg.
Why can these liabilities stay invisible?
The root cause is a specific rule in U.S. GAAP: under ASC 842, lease payment obligations hit the balance sheet only after a lease commences. Commitments that have not yet started are disclosed only in footnotes.
In plain terms = a company signs a contract and promises to pay, but because it hasn't moved in yet, the books treat the debt as if it doesn't exist.
Goldman analysts pieced together roughly $1 trillion in "not-yet-commenced" lease commitments by combing through those footnotes. Of the three major rating agencies, Fitch and Moody's likewise exclude them; only S&P takes a more conservative approach, factoring in leases with "debt-like characteristics."
Traditional metrics look healthy — so what's the problem?
Morgan Stanley data: hyperscalers carry an average net leverage ratio of just 0.5×, below the broader tech sector's 0.8× and far below the 1.8× average for U.S. non-financial corporates. Their aggregate cash still exceeds on-book debt.
Yet Goldman analysts warn: these off-balance-sheet obligations will eventually be recognized, and contractual payments will come due. This means → the comfort of "low leverage" may be an illusion created by accounting timing.
This reflects a deeper issue: traditional credit-analysis frameworks are being outpaced by the complexity of tech companies' off-balance-sheet financing structures.
What is Meta's "Beignet" model?
Meta designed a structured financing scheme for its Louisiana data center: it formed a joint venture called Beignet with Blue Owl, which develops and owns the facility. Meta holds only 20% equity but commits to leasing the center for at least 20 years.
That lease guarantee enabled Beignet to issue $27 billion in amortizing bonds — a record offering. In plain terms = Meta is effectively servicing this debt, but none of it shows up on Meta's own balance sheet.
Other hyperscalers quickly followed suit, launching their own lease arrangements in various forms.
How has the bond market reacted so far?
Beignet bond yields have risen from a post-issue low of 5.65% last autumn to roughly 6.95% today, with a notable price decline.
Analysts note that part of the pressure is passive pass-through from rising U.S. Treasury yields, not yet a strong signal of credit deterioration.
But the core question remains unanswered: whether this nearly $2 trillion in potential obligations can be absorbed ultimately depends on whether data-center capex delivers its expected returns — a valuation question bond investors cannot avoid.
