1. Introduction and Acceptance of Terms
Welcome to NashNova. This platform (the "Platform") is an AI-powered investment intelligence and financial education service operated by CMCF Limited, a company incorporated in the Hong Kong SAR (collectively referred to as "we", "us", or "our").
By downloading, installing, accessing, or using the NashNova mobile application or any related services (collectively, the "Service"), you ("User" or "you") agree to be bound by these Terms of Service and User Agreement ("Agreement"). If you do not agree to these terms, do not use the Service.
You must be at least 18 years of age to use the Service. By agreeing to these terms, you represent that you are 18 or older.
2. Nature of Service — Important Disclaimer
PLEASE READ THIS SECTION CAREFULLY. IT DIRECTLY AFFECTS YOUR LEGAL RIGHTS.
NashNova is an investment information and financial education tool. The Service is NOT:
A licensed investment adviser, broker-dealer, or financial planner;
A provider of personalized investment advice or recommendations;
A licensed entity under the Securities and Futures Ordinance (Hong Kong), the Securities Exchange Act (United States), or any equivalent legislation in any other jurisdiction.
All content, analysis, AI-generated commentary, market data, and information provided through the Service ("Content") is for informational and educational purposes only. Nothing in the Service constitutes investment advice, a solicitation to buy or sell any security, or a recommendation to take any particular investment action.
You acknowledge that:
Investing in financial markets involves significant risk, including the possible loss of your entire investment;
Past performance of any security, market, or investment strategy does not guarantee future results;
All investment decisions are made solely by you and at your own risk;
NashNova bears no responsibility for any losses, damages, or adverse outcomes resulting from your investment decisions.
3. Eligibility and Account Registration
3.1 Eligibility
To use the Service, you must: (a) be at least 18 years of age; (b) have the legal capacity to enter into a binding agreement; (c) not be prohibited from using the Service under applicable laws of your jurisdiction.
The Service is not available to persons in jurisdictions where its use would be prohibited or restricted by law. It is your responsibility to ensure compliance with local laws.
3.2 Account Registration
You may be required to create an account to access certain features. You agree to: (a) provide accurate and complete registration information; (b) maintain the security of your account credentials; (c) notify us immediately of any unauthorized account access; (d) accept responsibility for all activities conducted under your account.
You may not create accounts on behalf of others or transfer your account to another person. NashNova reserves the right to refuse registration or cancel accounts at its discretion.
4. Free Service and Subscription Plans
4.1 Free Tier
NashNova offers a free tier of the Service at no charge. The features available under the free tier may be limited and are subject to change at any time without notice.
4.2 Subscription Plans
NashNova may offer premium subscription plans ("Premium") with enhanced features. Where subscription plans are offered:
Subscription fees will be clearly displayed before purchase;
Subscriptions are billed on a recurring basis (monthly or annually) unless cancelled;
You authorize NashNova (or its payment processor, including Apple In-App Purchase) to charge your payment method on a recurring basis;
Subscriptions automatically renew unless cancelled at least 24 hours before the renewal date;
You may cancel at any time through your App Store account settings;
No refunds are provided for partial subscription periods, except where required by applicable law.
4.3 Price Changes
NashNova reserves the right to change subscription pricing. We will provide at least 30 days' notice of any price increase. Continued use of the Service after a price change constitutes acceptance of the new price.
5. User Conduct and Prohibited Activities
You agree to use the Service only for lawful purposes. You must not:
Use the Service to engage in, facilitate, or promote any illegal activity including market manipulation, insider trading, or securities fraud;
Reproduce, distribute, or commercially exploit any Content without our prior written consent;
Reverse engineer, decompile, or attempt to extract the source code of the Service;
Use automated tools, bots, or scrapers to access or collect data from the Service;
Attempt to gain unauthorized access to any part of the Service or its underlying systems;
Post or transmit any content that is false, misleading, defamatory, obscene, or violates the rights of any third party;
Interfere with or disrupt the integrity or performance of the Service;
Impersonate any person or entity or misrepresent your affiliation with any person or entity.
6. User-Generated Content (Community Features)
6.1 Your Content
If the Service includes community or social features, you may post, share, or submit content including analysis, commentary, investment views, and other materials ("User Content"). You retain ownership of your User Content but grant NashNova a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, and distribute your User Content in connection with the Service.
6.2 Content Standards
You are solely responsible for your User Content. You must not post User Content that:
Constitutes unlicensed investment advice or specific securities recommendations;
Contains false, misleading, or materially inaccurate financial information;
Infringes any intellectual property rights of any third party;
Violates any applicable laws or regulations.
6.3 Content Moderation
NashNova reserves the right to remove any User Content that violates these terms or that we determine, in our sole discretion, to be inappropriate.
7. Intellectual Property
All intellectual property rights in the Service, including but not limited to software, algorithms, AI models, design, text, graphics, and trademarks ("NashNova IP"), are owned by or licensed to NashNova. Nothing in this Agreement transfers any intellectual property rights to you.
You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use, subject to these terms.
8. Data and Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated into this Agreement by reference. By using the Service, you consent to the collection, use, and transfer of your data as described in the Privacy Policy.
You acknowledge that the Service uses artificial intelligence and machine learning. Your interactions with the Service, including queries, inputs, and usage patterns, may be used to improve the Service's AI capabilities, subject to the Privacy Policy.
9. Third-Party Data and Services
The Service may incorporate data, content, or tools from third-party providers (including market data providers, news sources, and financial databases). NashNova does not guarantee the accuracy, completeness, or timeliness of third-party data. Third-party services are subject to their own terms and privacy policies.
The Service may contain links to third-party websites or services. NashNova is not responsible for the content or practices of any linked third-party sites.
10. Disclaimers and Limitation of Liability
10.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. NASHNOVA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
10.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NASHNOVA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR INVESTMENT LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF NASHNOVA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NashNova's total aggregate liability to you for any claims arising under or related to this Agreement shall not exceed the greater of: (a) the total fees paid by you to NashNova in the twelve (12) months preceding the claim; or (b) HKD 500.
11. Indemnification
You agree to indemnify, defend, and hold harmless NashNova and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Service; (b) your User Content; (c) your violation of this Agreement; or (d) your violation of any applicable laws or regulations.
12. Modifications to the Service and Agreement
NashNova reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time. We will use reasonable efforts to provide advance notice of significant changes.
We may update this Agreement from time to time. We will notify you of material changes by posting a notice within the Service or by other appropriate means. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Agreement.
13. Termination
You may terminate your account at any time by contacting us or through the account settings. NashNova may suspend or terminate your access to the Service immediately if you breach this Agreement or for any other reason at our discretion.
Upon termination: (a) your license to use the Service ends immediately; (b) we may delete your account data in accordance with our Privacy Policy; (c) provisions that by their nature should survive termination shall continue to apply, including Sections 2, 7, 10, 11, and 14.
14. Governing Law and Dispute Resolution
14.1 Governing Law
This Agreement is governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law principles.
14.2 Dispute Resolution
In the event of any dispute arising out of or in connection with this Agreement, the parties shall first attempt to resolve the dispute through good faith negotiation. If the dispute cannot be resolved within 30 days, it shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with its rules. The seat of arbitration shall be Hong Kong. The language of arbitration shall be English or Chinese.
14.3 US Users — Additional Terms
For users in the United States: Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction. Nothing in this Agreement limits your rights under applicable US consumer protection laws.
14.4 Class Action Waiver
To the extent permitted by applicable law, you waive any right to bring claims on a class, collective, or representative basis. All disputes must be brought in your individual capacity.
15. Regional Supplemental Terms
15.1 Hong Kong SAR Users
The Service is not a licensed provider of investment advice under the Securities and Futures Ordinance (Cap. 571). Nothing in the Service constitutes the provision of regulated investment advice or constitutes a "Type 1" (dealing in securities) or "Type 4" (advising on securities) regulated activity. Users should consult a licensed investment adviser before making any investment decisions.
15.2 United States Users
The Service is not registered as an investment adviser with the U.S. Securities and Exchange Commission (SEC) or any state securities regulator. The Service does not provide personalized investment advice and is not a broker-dealer. Users are encouraged to consult a registered investment adviser.
California residents: Under the California Consumer Privacy Act (CCPA), you have additional rights regarding your personal data. Please refer to our Privacy Policy for details.
15.3 Southeast Asia Users
The availability and permissible use of the Service may vary by country within Southeast Asia. It is your responsibility to ensure that your use of the Service complies with applicable laws in your jurisdiction. The Service is not regulated by MAS (Singapore), OJK (Indonesia), SEC (Philippines), or equivalent regulators in other Southeast Asian jurisdictions.
16. General Provisions
16.1 Entire Agreement
This Agreement, together with the Privacy Policy and any other policies referenced herein, constitutes the entire agreement between you and NashNova with respect to the Service and supersedes all prior agreements and understandings.
16.2 Severability
If any provision of this Agreement is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
16.3 Waiver
Our failure to enforce any right or provision of this Agreement will not be considered a waiver of those rights.
16.4 Assignment
You may not assign or transfer your rights under this Agreement without our prior written consent. NashNova may assign its rights without restriction.
