Meta is issuing ~$12 billion in bonds for a nearly 1-gigawatt Texas data center, with initial yield talks above 7% — roughly 0.4 percentage points higher than a comparable deal nine months ago, signaling a repricing of AI infrastructure risk.
How much more expensive is this bond than the last one?
The bonds are issued through "Sopaipilla Investor," a special-purpose vehicle (SPV — a standalone legal entity set up for a single project) under BlackRock. Initial yield guidance is above 7%.
Last October, Meta's "Hyperion" data-center deal set a corporate-bond record at $27 billion, with yields roughly 0.4 percentage points lower.

Sopaipilla holds 80% equity in the Texas project; Meta retains 20%. The bonds are backed by Meta's rental payments starting in 2028, running 20 years to a 2048 maturity.
Meta bears construction-overrun risk — any cost above 105% of the initial budget falls on Meta. However, if a severe unforeseen event delays the project beyond 18 months, Meta can exit without penalty.
This means → bondholders get long-term rental lock-in plus overrun protection, while Meta keeps an escape valve for extreme scenarios — a structured compromise.
What do the credit ratings say?
S&P rates the bonds A+, one notch below Meta's corporate rating of AA-. S&P analyst Viviane Gosselin called it "a very robust structure."
Fitch and KBRA both rate the bonds AA-, matching Meta's corporate rating.
This reflects a split among rating agencies on SPV-based project financing — on the same bond, S&P is one notch more conservative than the other two.
Why are tech giants using this "off-balance-sheet" model?
Borrowing through project entities rather than the corporate parent has become the dominant path for big tech to keep balance sheets clean during the AI arms race.
Last month, Anthropic borrowed $35 billion through a structure backed by GPU leases and a Broadcom guarantee — a similar model at even larger scale.
